These terms govern your use of the Gardwyn website at gardwyn.com (the "Site"). Please read them carefully. By accessing or using the Site, you agree to be bound by these terms. If you do not agree, please do not use the Site.

Who we are

The Site is operated by Gardwyn LLC ("Gardwyn," "we," "us," or "our"), a limited liability company with a mailing address at 2108 N ST #14665, Sacramento, CA, 95816, USA. Gardwyn is a business-to-business professional services firm. We provide trustworthy, evaluated AI engineering, consulting, and AI Trust Audits to other organizations. We do not sell retail or consumer products, and we do not process direct consumer credit-card payments through this domain.

The Site versus a consulting engagement

The Site is an informational and contact resource. It describes our services, lets you read our published work, and lets you reach us or book an introductory call.

These terms cover the Site only. They do not create a consulting relationship and are not an offer to perform services. Any engagement between Gardwyn and a client is governed by a separate, signed written agreement — typically a Master Services Agreement (MSA) and one or more Statements of Work (SOW), together with any applicable AI-specific addendum. Where a signed engagement agreement and these Site terms conflict on a matter within the engagement, the signed agreement controls for that engagement.

Acceptable use of the Site

You may use the Site for lawful business purposes and to evaluate or contact Gardwyn. You agree not to:

Intellectual property

The Site and its contents — including text, design, graphics, logos, the Gardwyn name and wordmark, and published methods or case material — are owned by Gardwyn or its licensors and are protected by intellectual property laws. You may view and share the Site for your own informational and business-evaluation purposes. You may not copy, reproduce, republish, or create derivative works from Site content for commercial use without our prior written permission.

Ownership of any work product, deliverables, or intellectual property arising from a consulting engagement is governed by the signed agreement for that engagement, not by these terms.

Payments

No payment is taken on this Site. Client engagements are billed through bespoke digital invoices issued under the relevant signed agreement. Card and ACH payments on those invoices are processed securely by our payment partner, Stripe. We do not store full payment-card details, and we do not offer retail checkout or direct consumer credit-card processing on this domain. The specific fees, payment schedule, and invoicing terms for an engagement are set out in its Statement of Work.

Third-party links and services

The Site may link to third-party websites or services that we do not own or control — for example, our scheduling tool. We provide these links for convenience and do not endorse or assume responsibility for the content, policies, or practices of those third parties. Your use of any third-party site or service is governed by that party's own terms and policies, and we encourage you to review them.

Disclaimers and warranties

The Site is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Gardwyn disclaims all warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components, or that any information on the Site is complete, accurate, or current.

Information published on the Site is general in nature and is not professional, legal, or engineering advice for your specific situation. Any advice or recommendation specific to your organization is delivered only under a signed consulting engagement.

Limitation of liability

To the fullest extent permitted by law, Gardwyn and its members, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or relating to your use of — or inability to use — the Site, even if we have been advised of the possibility of such damages.

This limitation applies to your use of the Site. The liability of either party under a consulting engagement is governed instead by the limitation-of-liability provisions of the signed agreement for that engagement.

Indemnification

You agree to indemnify and hold harmless Gardwyn and its members, employees, and agents from any claims, damages, liabilities, and reasonable expenses (including legal fees) arising out of your misuse of the Site or your breach of these terms. This provision applies to use of the Site; indemnification obligations within a consulting engagement are governed by the signed agreement for that engagement.

Governing law

These terms are governed by the laws of the State of California, USA, without regard to its conflict-of-law rules. If you have a concern or dispute about the Site, you agree to first try to resolve it informally by contacting us at [email protected].

Changes to these terms

We may update these terms from time to time. When we do, we will revise the "Last updated" date above. Material changes take effect when posted, and your continued use of the Site after they take effect means you accept the revised terms. We encourage you to review this page periodically.
